Fujitsu Launchpad Terms of Service

Welcome to Fujitsu Launchpad Limited (“Launchpad,” “us” or “we”). We’re glad you’re here, and we hope you enjoy everything we have to offer.

These Terms of Service (the “Terms”) govern your access to, or use of, any website, software, applications, or services offered or operated by Launchpad (collectively, the “Services”). Please note that we offer many Services and these Terms apply to all of them. In order to use our Services, you must agree to these Terms, Privacy Policy (the “Privacy Policy”) and any applicable additional service-specific terms (the “Service-Specific Terms”).

Please read these Terms, the Privacy Policy, and any applicable Service-Specific Terms carefully because they constitute a binding agreement between you and Launchpad. By accessing, visiting, and/or using our Services, you agree that you have reviewed these Terms, the Privacy Policy and any applicable Service-Specific Terms and you hereby consent to be bound by them. Further, our Services may include materials that may be provided by third-party licensors that are displayed in our Services, including texts, graphics, and images. Any use and access to these third-party materials will be subject to the terms and policies of the third-party licensors.

Subject to your compliance with these Terms, the Privacy Policy and any applicable Service-Specific Terms, we hereby grant you a non-exclusive, non-transferable right to access and use our Services, until you stop using the Services or, if you are using a subscription-based Service, until the expiration of the term of your subscription.

If you have received access to our Service through your organization, or if you are using our Service as part of an organization, an authorized representative of that organization must agree to these Terms, the Privacy Policy, and any applicable Service-Specific Terms. In such a case, your use of a Service may also be governed by a separate agreement between the Service and your organization that provides for payment and other terms that are not covered here. To be eligible to use the Service, you must ensure that you have complied with the terms of the separate agreement. If you have entered into a separate agreement with the Service on behalf of your organization, you are responsible for ensuring that your users comply with the applicable terms of that agreement.

Your Account

Some of our Services may require you to create an account before you can use the Service. To create an account, you must provide truthful and accurate information about yourself. Do not try to impersonate anyone else when you create your account. If your information changes at any time, please update your account to reflect those changes. If you need help, please contact Launchpad to request disclosure, correction, addition, or deletion of the personal information that we have on file for you. Please see our Privacy Policy for more information about how we use your personal information.

You are responsible for the use and management of your account login information. In order to protect the security of your account and other users of our Services, do not share your account login with other people or allow other people to log into your account. You accept responsibility for all activities that occur under your account or from your computer and mobile devices and acknowledge that such activities will be deemed to be undertaken by you. We are not responsible for the management of your account and we will not be responsible for any damage caused to your account or losses suffered by you due to theft, loss or leakage of your account login information unless such theft, loss or leakage was caused by our intentional or grossly negligent acts. You agree to immediately notify us of any unauthorized use of your account login information or any other security breach that you become aware of.

In some cases, an account may be assigned to you by an administrator or representative of your organization. If you are using or logging into an account assigned to you by your organization, additional terms may apply to your use of the Service. Moreover, your organization may limit certain features of the Service or may be able to access or disable your account without our involvement.

We may, in our sole discretion, refuse to offer access to our Services to any specific person or entity and change our signup eligibility at any time. You can stop using our Services at any time and you can delete your account by logging into the Service you are using and following the instructions on the Service or by contacting us.

Security and Privacy

We endeavor to use reasonable security measures to protect against unauthorized access to our Services, including any data or information stored on our servers. However, we cannot guarantee absolute security to your account, your profile, or the information you have provided to us, and we cannot promise that our security measures will prevent unauthorized parties from illegally accessing the Services or any data or information stored on our servers.

Data protection and privacy laws where you live may impose certain responsibilities on you (or your organization) and your (or your organization’s users’) use of our Services. You agree that you (and your organization, as applicable) are solely responsible for ensuring that you comply with any applicable laws when you use our Services.

Any personal information that you supply to us or upload to our Services during the course of using the Service will be handled in accordance with our Privacy Policy.

Changes to our Services

Modifications and Termination

We are constantly launching new applications and services or adding new technologies and features to improve our existing Services. As part of this continual improvement, we sometimes modify, add, or remove features and functionalities, increase, or decrease limits to our Services, and start offering new Services or stop offering old ones.

We reserve the right to modify or terminate our Services at any time, with or without notice to you, so be sure to check back regularly. We also reserve the right to charge a fee or increase the fees charged for any of our features or Services at any time. If you do not like any of the changes, you may stop using our Services or delete your account at any time. If you have received access to a Service through your organization or are using an account assigned to you by your organization, your organization may cancel the access or subscription if your organization does not agree to our changes. If we make material changes that negatively impact your use of our Services or if we stop offering a Service, we will endeavor provide you with reasonable advance notice, except in urgent situations such as preventing abuse, responding to legal requirements, or addressing security and operability issues.

Disruptions

In order to implement modifications or updates, or to maintain our systems, we may need to temporarily suspend a Service or a portion of it. We will try to provide you with reasonable advance notice of schedule updates or maintenance, but we cannot guarantee that you will always receive notice prior to suspension or disruption, especially in the event of emergency maintenance. Further, you may experience sudden disruption or suspension of access to the Services due to events beyond our control such as natural disasters, weather events, system or equipment failures, or acts attributable to third parties, including hacking, DDoS attacks, and other types of cyber attacks. When this happens, we will try our best to recover our systems as soon as possible but we do not guarantee that you will have a certain level of access to our Services. You agree that we will not be liable to you or any third party for any disruption or suspension of our Services or for any modification or discontinuance of a feature or Service.

We do not guarantee that the Services will always be available for use or be uninterrupted or free from errors. If you are experiencing any technical difficulties using or accessing our Services, please contact the relevant Service’s support team.

Your Use of Our Services

You must use our Services in compliance with these Terms and any applicable Service-Specific Terms, and you must not use the Services in a way that violates any laws, infringes on anyone’s rights, is offensive, or interferes with the Services or any features on the Services (including any technological measures we employ to enforce these Terms or the Service-Specific Terms). You also must not copy or modify any Services, license or transfer our Services to anyone else (unless we have agreed in writing), reverse engineer our Services, or remove any proprietary notices from our Services.

In order to protect the integrity of our Services and the experiences of our users, we expect you to follow some basic rules of conduct when using our Services.

  • You must comply with all applicable laws and regulations.
  • You must treat all confidential, non-public information we provide to you as part of our Service as confidential, not disclose it to third parties, and use our information only for the purpose of using our Services.
  • You must respect the rights of others, including privacy rights and intellectual property rights (including patent rights, trademark rights and copyrights).
  • You must not and must not attempt to, or assist any other person to infringe, misappropriate, or otherwise violate the copyright, trademark, or other intellectual property rights contained in our Services.
  • You must not use the Services to, or encourage others to, commit acts that would violate any laws or regulations or engage in harmful behavior such as harassment or bullying.
  • You must not harm, interfere with, or disrupt the Services or the use of the Services by other users, or attempt to do so.
  • You must not provide false information to us, such as using false information in creating your profile or account.
  • You must not make unauthorized use of credit cards.
  • You must not post any content that:
    • breaches laws or regulations;
    • includes Personal Information (defined in the Privacy Policy) of others;
    • infringes on our or a third party’s rights, including privacy rights and intellectual property rights (including patent rights, trademark rights and copyrights);
    • defames or slanders us or other third parties; or
    • includes computer viruses and other harmful computer programs.
  • You must not and must not attempt to, or assist any other person to make any duplication, modification, reproduction, reprinting, alteration, modification, reverse engineering, disassembly, decompilation, translation, or analysis of the functions provided by the Services or use any automated system that may, intentionally or unintentionally, detrimentally affect our Services.
  • You must not engage in any activities that we may reasonably prohibit or reasonably determine as inappropriate.

If we discover that you have violated any of the rules listed above, we reserve the right to terminate your account, prohibit you from using the Services, and take appropriate legal actions. By using our Services, you agree that we may share information, including personal information with law enforcement, public or governmental agencies, or with private parties, within or outside of your country of residence, to address any issues of national security or of public importance, to prevent or detect fraud, security or technical issues or violations of these Term, or to address any abuse of our Services or users.

Some of our Services may contain links to third-party websites or services. You agree that any use of, and access to, these third-party websites and services will be subject to the terms and policies of the third-party websites and services.

We cannot and do not control the availability of these third-party services or the materials or content found on these third-party websites, and we cannot guarantee the security integrity of these third-party websites or services. Further, we do not endorse any third-party websites, any goods or services sold on those websites, or any views expressed in the content on such websites. We also do not endorse the content posted or views expressed by users on our Services and any views or opinions expressed are solely those of that person or organization and do not necessarily reflect our views. You are solely responsible for evaluating any content on third-party websites and for assessing the quality of third-party services. You agree that you will use your own judgment and adopt proper security measures when accessing and using third-party websites or services. Additionally, some of our Services allow users to create posts or interact with each other. You should always be careful when you click on links found on other users’ posts or that are shared by other users.

The availability of our Services may be dependent on or interoperates with numerous third-party products and services including, but not limited to, (i) your computer, mobile device, home wiring, home Wi-Fi network, Bluetooth connection, and other related equipment (“Equipment”), (ii) your Internet service provider (“ISP”), and (iii) your mobile device carrier (“Carrier”). You acknowledge we cannot and do not control the operations or availability of these third-party products and services and issues with your Equipment or other third-party products and services may impact the use and reliability of our Services. Further, you agree that you are responsible for all fees charged by your ISP and Carrier in connection with your use of our Services as well as compliance with all applicable agreements, terms of use/service, and other policies of your ISP and Carrier.

Intellectual Property Rights

Using our Services does not give you ownership of any intellectual property rights to the materials or content you access. You may not use content from our Services unless you obtain written permission from us. Further, we reserve all rights that we do not expressly grant to you under these Terms and we retain all intellectual property rights we have in our Services, including rights to any materials, content, logo/branding, source codes, design features, or data that we collect in relation to your use of the Services that we use to improve their performance and functionality (together, “Launchpad IP”). We own all rights, titles, and interests in the Launchpad IP.

Some of our Services may give you access to or expose you to content belonging to other people or organizations. For example, in some Services, other users may upload their pictures or videos or share content in their posts. You may not use such content without the permission of that person or without complying with the terms and conditions of that organization.

Permission to Use Your Content

Some of our Services are designed to let you share your content. You have no obligation to provide any content to our Services and you’re free to choose the content that you want to provide. You may only upload or share content if you have the necessary rights to do so and if the content is lawful. For example, you may have intellectual property rights in creative content that you create or you may have the right to share someone else’s creative content if they give you their permission.

By providing content to our Services, you agree to grant us a non-exclusive, worldwide, non-exclusive, and royalty-free right to use your content. We will only use your content for the purposes of operating or improving our Services, for marketing or promoting our Services and for developing new features and services. This includes hosting, reproducing, distributing, communicating, and using your content, for example, we may save your content on our systems and make it accessible to you from multiple devices. We may also sublicense these rights to our service providers for the purpose of helping us achieve our purposes set out in this paragraph.

You will of course own the intellectual property rights in your own personal information and creative content that you provide to us or upload to our Services. If you are accessing our Service through your organization, any intellectual property rights to the content you provide to us on behalf of your organization will belong to the organization.

User Feedback and Data

We may monitor your use of our Services and collect data in relation to your use (“User Data”). We will own the intellectual property rights in such aggregated data, and you agree that we may use such data as permitted by applicable law, but not in a way that identifies you personally. You hereby grant us a worldwide, royalty-free, perpetual, irrevocable, transferable, and sublicensable license to use User Data and you agree that we may use User Data in connection with our operation and provision of the Services to our users and for other business purposes relating to the Services, including but not limited to improving the performance and functionality of our Services, developing new features for our Services, and analyzing user behavior and engagement with our Services.

From time to time, you may choose to, or we may invite you to submit comments, suggestions, or feedback about our Services, including how to improve its services and features (“Feedback”). By submitting Feedback, you agree that your Feedback is given voluntarily, gratuitously, and without any restrictions and we may use, copy, modify, publish, or redistribute Feedback and its contents for any purpose in our sole discretion without any compensation to you. You hereby grant us a nonexclusive, worldwide, royalty-free, perpetual, irrevocable, transferable, and sublicensable right to access, display, or otherwise use your Feedback (including all related intellectual property rights).

Our Warranties and Disclaimers

We provide our Services using a commercially reasonable level of care and promise to do our best to make sure you enjoy the Services. But there are certain things that we don’t promise about our Services.

OTHER THAN AS EXPRESSLY SET OUT IN THESE TERMS, NEITHER FUJITSU LAUNCHPAD LIMITED NOR ITS AFFILIATES, AGENTS, OR SERVICE PROVIDERS (TOGETHER, THE “SERVICES ENTITIES”) MAKE ANY SPECIFIC PROMISES ABOUT THE SERVICES. FOR EXAMPLE, WE DON’T MAKE ANY GUARANTEES ABOUT THE CONTENT WITHIN THE SERVICES, THE SPECIFIC FUNCTION OF THE SERVICES, OR THEIR RELIABILITY, AVAILABILITY, OPERATION WITHOUT INTERRUPTION, COMPATIBILITY WITH OTHER SOFTWARE OR SYSTEMS, SECURITY, ACCURACY OR ABILITY TO MEET YOUR NEEDS. WE PROVIDE THE SERVICES “AS IS”.

WE EXPRESSLY DISCLAIM ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, AND SPECIFICALLY DISCLAIM ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Liability for Our Services

TO THE EXTENT NOT PROHIBITED BY THE JAPANESE CONSUMER CONTRACT ACT OR OTHER LAWS, NEITHER LAUNCHPAD NOR THE SERVICES ENTITIES SHALL BE LIABLE TO YOU FOR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES ARISING FROM YOUR USE OF THE SERVICES OR ANY THIRD PARTY’S USE OF THE SERVICES. THESE EXCLUSIONS INCLUDE, WITHOUT LIMITATION, DAMAGES FOR LOST PROFITS, LOST OF OPPORTUNITIES OR GOODWILL, LOST DATA, COMPUTER FAILURE, OR THE VIOLATION OF YOUR RIGHTS BY ANY THIRD PARTY, EVEN IF THE SERVICES ENTITIES HAVE BEEN ADVISED OF THE POSSIBILITY THEREOF AND REGARDLESS OF THE LEGAL OR EQUITABLE THEORY UPON WHICH THE CLAIM IS BASED.

Launchpad’s total liability arising out of or relating to these Terms is limited to US$500. If you are a consumer, the limitation set forth in the preceding sentence will only apply to the losses caused by Launchpad’s negligence (excluding gross negligence). We have no responsibility for any claim of infringement arising from any use of our Services in combination with data or technology provided by a third party, modifications to our Services that we did not make, or your data.

To the extent allowed by applicable law, you’ll indemnify Launchpad and our directors, officers, employees, and contractors for any third-party legal proceedings (including actions by government authorities) arising out of or relating to your unlawful or improper use of the Services or violation of these Terms or the Service-Specific Terms. This indemnity covers any liability or expense arising from claims, losses, damages, judgments, fines, litigation costs, and legal fees.

Taking Action in Case of Problems

Before removing your information or suspending or terminating your access to our Services, we will provide you with advance notice when reasonably possible, describe the reason for our action, and give you an opportunity to fix the problem, unless we reasonably believe that doing so would:

  • cause harm or liability to a user, third party, or Launchpad.
  • violate the law or a legal enforcement authority’s order.
  • compromise an investigation.
  • compromise the operation, integrity, or security of our services.

Removing Your Content

If we reasonably believe that any of your content (1) breaches these Terms or the Service-Specific Terms, (2) violates applicable law, or (3) could harm our users, third parties, or Launchpad, then we reserve the right to take down some or all of that content in accordance with applicable law. Examples include child pornography, content that facilitates human trafficking or harassment, and content that infringes someone else’s intellectual property rights.

Suspending or Terminating Your Access to Our Services

We reserve the right to suspend or terminate your access to the Services or delete your account if any of these happen:

‍

  • you materially or repeatedly breach these Terms or the Service-Specific Terms.
  • we are required to do so to comply with a legal requirement or a court order.
  • we believe that you’re using the Services or Launchpad IP for fraudulent or illegal activities, or our provision of Services to you becomes illegal.
  • we reasonably believe that your conduct causes harm or liability to a user, third party, or us, for example, by hacking, phishing, harassing, spamming, misleading others, or scraping content that doesn’t belong to you, disrupting our services, or creating a security risk.

If you believe your account has been suspended or terminated in error, you can appeal by contacting our support team. We will review your appeal request based on the facts and circumstances known to us and determine whether to reinstate your account. If we determine that your account should be reinstated, we’ll try to reinstate your access to the Services after the issue that caused us to suspend your use of the Services is resolved, but we are not responsible for any damage or loss to you as a result of the suspension or termination.

Electronic Communications; Marketing

When you use a Service or send communications to us through a Service, you are communicating with us electronically. You consent to receive electronically any communications related to your use of a Service. We may communicate with you by email or by posting notices on the Service. You agree that all agreements, notices, disclosures, and other communications that are provided to you electronically in connection with our Services satisfy any legal requirement that such communications be in writing. All notices from us intended for receipt by you will be deemed delivered and effective when sent to the email address you provide to us or made available to your account. Please note that by creating a user account or otherwise providing us with your email address, postal address or phone number, you are agreeing that we or our agents may contact you at that address or number in a manner consistent with our Privacy Policy.

When you create an account on our Services, you may be asked if you would like to receive promotional or marketing emails, messages, or other communications. If you opted in to receive promotional or marketing emails or other communications, you agree that we may send you promotional or marketing communications to your email or through other methods of communication. Further, by using our Services, you acknowledge that we may show you ads that other people, businesses, or organizations pay us to promote on our website. We will not sell or provide any of your personally identifiable information to advertisers.

If these Terms conflict with any Service-Specific Terms with respect to any matters relating to that particular Service, the Service-Specific Terms will govern.

If you do not comply with these Terms or the Service-Specific Terms, and we do not take action right away, our inaction does not mean we approve of your actions or will not take action, or that we are giving up any rights that we may have (such as taking action in the future).

If it turns out that a particular provision in these Terms or in the Service-Specific Terms is not enforceable, that will not affect any other provision.

You may not assign any of your rights or obligations under these Terms or the Service-Specific Terms without our written consent.

Settling disputes, governing law, and courts

Japanese law will govern all disputes, legal actions and proceedings arising out of or relating to these Terms, or any Services we provide to you under these Terms, regardless of conflict of laws rules. Any such dispute will be resolved exclusively in the Tokyo District Court Japan, and you and Launchpad consent to personal jurisdiction in this court.

Changes to these Terms

We reserve the right to update these Terms at any time and for any reason in our sole discretion. The revised Terms will be posted on our website and will become effective upon posting on our website. By continuing to use or access a Service after these Terms have changed, you manifest your agreement to the revised Terms. If you do not agree to the modified Terms, your only recourse is to cease using the Services.
